Redis SOC 2 Confidentiality Terms

The Redis SOC 2 Report (“SOC 2”) has been prepared for the use of Redis’s existing customer entities and their auditors. In addition, certain prospective customer entities (collectively with existing customers, each a “Recipient”), may have access to the SOC 2 subject to these confidentiality terms (“Terms”). Please read the Terms carefully. Your access to the SOC 2 is subject to your agreement to the Terms set forth below. If you agree to these Terms not as an individual but on behalf of your company, then “Recipient” or “you” means your company, and by doing so you bind your company to these Terms and you represent that you have legal authority to bind that entity.

By checking the box for these Terms and submitting your SOC 2 request, you indicate that you and the Recipient agree to be bound by these Terms. Such acceptance is deemed to be as effective as a written signature by you, on behalf of yourself and the Recipient, and this acceptance is deemed to satisfy any writings requirements of any applicable law, notwithstanding that the acceptance is written and accepted electronically. Distribution or disclosure of any portion of the SOC 2 or any information contained therein to persons other than Redis is prohibited, except as provided in the Terms below.

These Terms exclusively govern the disclosure of the SOC 2 by Redis Inc and its affiliates with a place of business at 700 E El Camino Real, Suite 250, Mountain View, CA 94040 (“Redis”), to Recipient, as defined above. These Terms are effective on the date you check the box to submit your SOC 2 request (“Effective Date”) and will continue for the period specified below.

Recipient has requested the SOC 2 which is non-public confidential information of Redis (“Confidential Information”). Redis will disclose such Confidential Information to Recipient as follows:

1.     Restrictions. Recipient agrees to: (a) not make copies of the SOC 2; (b) not disclose the SOC 2, or provide a copy of the SOC 2 to any third-party without written consent; (c) only provide access to the SOC 2 to personnel within the Recipient company who (i) have a need to know such information and (ii) have signed confidentiality agreements or are otherwise legally bound by confidentiality obligations consistent with, and no less restrictive than, these Terms (“Representatives”); and (d) not use SOC 2 for any purpose except to evaluate the SOC 2.

2.     Responsibilities. Recipient is solely responsible for determining whether the information contained in the SOC 2 fits its needs and requirements. These Terms do not contain any certifications, representations, or warranties by Redis as to the use of the SOC 2, and the SOC 2 is provided “AS IS.” Recipient’s use and reliance on the SOC 2 is at its own risk. Recipient agrees to store the SOC 2 in a secure location. Recipient is liable for any breach of these Terms by its Representatives. Recipient agrees to promptly notify Redis of unauthorized disclosure or use of the SOC 2. If Recipient is required to disclose the SOC 2 pursuant to an order of a court of competent jurisdiction or as required by law, Recipient will provide Redis with advance notice of such disclosure. If Redis is unable to prevent such disclosure, Recipient may disclose only the portion of Confidential Information necessary to comply with such order or law.

3.     Duration and Termination. These Terms remain effective for a period of no less than five (5) years from the Effective Date. If you retain the SOC 2 beyond this duration, you agree to store it in a secure location. Upon termination of these Terms or on written request by Redis, the Recipient shall: (i) cease using the Confidential Information, (ii) return or destroy the Confidential Information and all copies, notes or extracts thereof to Recipient within seven (7) business days of receipt of request, and (iii) if requested, confirm in writing that Recipient has complied with these obligations.

4.     General. These Terms may not be (a) assigned by either party; or (b) amended, except by a document signed by the parties. You agree that violating these Terms will result in irreparable harm to Redis, that money damages cannot compensate for, and Redis is entitled to seek injunctive relief against the breach or threatened breach of these Terms, without providing proof of actual damages or posting a bond. These Terms do not obligate Redis to disclose any information or enter into any separate business relationship. These Terms are governed by the laws of the State of California and any dispute arising from these Terms must be brought exclusively in the courts of Santa Clara County in the State of California without reference to its choice of law rules. These Terms do not replace, modify, amend, alter, or supersede any other agreement between Redis and Recipient.

By checking the box for these Terms and submitting your SOC 2 request, you indicate that you and the Recipient agree to be bound by these Terms. If you are agreeing to these Terms not as an individual but on behalf of your company, by doing so you are binding your company to these Terms and you are representing to us that you have legal authority to bind that entity.
